Terms of Use

These Terms of Use ("Terms") are entered into by and between you and Conselent Inc., a Wyoming corporation ("Conselent," "we," "us," or "our"). These Terms govern your access to and use of our websites, landing pages, online properties, content, materials, and any publicly available or trial-access portions of our services that link to these Terms (collectively, the "Site").

By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, do not access or use the Site.

If you are using the Site on behalf of a company or other organization, you represent and warrant that you are authorized to bind that organization to these Terms, and "you" includes that organization.

1. Scope

These Terms govern your use of the Site and publicly available content and features made available through the Site.

If you purchase or use Conselent's paid services, software, platform, APIs, or business offerings, those services may be governed by separate agreements, including an Order Form, Master Services Agreement, Data Processing Addendum, Security Exhibit, Acceptable Use Policy, Privacy Policy, and related documents. If there is a conflict between these Terms and a separate signed or accepted customer agreement, the customer agreement controls for the applicable services.

2. Eligibility

You may use the Site only if you are legally capable of entering into a binding agreement and your use does not violate any applicable law.

The Site is intended for business and commercial use and is not directed to children.

3. Changes to the Site or Terms

We may modify these Terms from time to time. When we do, we will post the updated version and update the Effective Date above. Your continued use of the Site after updated Terms are posted constitutes your acceptance of the revised Terms.

We may change, suspend, or discontinue any part of the Site at any time, with or without notice.

4. Privacy

Your use of the Site is also subject to our Privacy Policy. By using the Site, you acknowledge that we may collect, use, and disclose information as described in the Privacy Policy.

5. Permitted Use

Subject to these Terms, Conselent grants you a limited, non-exclusive, revocable, non-transferable right to access and use the Site for your internal informational and business purposes.

You may not use the Site for any unlawful purpose or in any way that could harm Conselent, its users, customers, vendors, systems, or operations.

6. Prohibited Conduct

You agree not to, and not to allow any third party to:

  • use the Site in violation of any applicable law, regulation, or third-party right;
  • copy, reproduce, distribute, modify, create derivative works from, publicly display, or publicly perform Site content except as expressly permitted by these Terms or with our prior written consent;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, models, workflows, or algorithms from the Site, except to the extent prohibited by law;
  • interfere with or disrupt the integrity, performance, or security of the Site;
  • attempt to gain unauthorized access to the Site, accounts, systems, or networks;
  • use bots, scrapers, crawlers, harvesters, or other automated means to access or collect information from the Site except as authorized by us in writing;
  • upload, transmit, or submit any malware, malicious code, spyware, ransomware, or other harmful material;
  • use the Site to infringe the intellectual property, privacy, confidentiality, publicity, or other rights of any person or entity;
  • misrepresent your identity, affiliation, or authority;
  • use the Site to test, benchmark, or build a competing product or service without our prior written consent; or
  • overload, flood, spam, or otherwise misuse the Site or related systems.

7. Accounts

Certain features of the Site may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

You agree to provide accurate and complete information and to keep it current.

We may suspend or terminate your account if we believe you have violated these Terms or if your account creates security, legal, or operational risk.

8. Customer Content and Submissions

If you submit information to us through the Site, including contact forms, demo requests, support inquiries, feedback, uploaded materials, or other submissions ("Submissions"), you represent and warrant that:

  • you have the right to provide the Submission;
  • the Submission does not violate any applicable law or third-party right; and
  • the Submission does not contain material that is unlawful, defamatory, fraudulent, infringing, or harmful.

You grant Conselent a non-exclusive, worldwide, royalty-free right to use, host, store, process, reproduce, and otherwise use Submissions as reasonably necessary to respond to you, provide the Site, operate our business, improve our offerings, and enforce our rights.

If you are a paying customer and submit Customer Data through the actual service, that data will be governed by the applicable customer agreement rather than this Section to the extent specified in that agreement.

9. Feedback

If you provide ideas, suggestions, recommendations, or other feedback regarding the Site or our services, you grant Conselent a non-exclusive, perpetual, irrevocable, worldwide, royalty-free right to use, modify, disclose, reproduce, distribute, and otherwise exploit that feedback without restriction or obligation to you.

10. Intellectual Property

The Site, including its design, text, graphics, logos, branding, software, layouts, content, interfaces, and other materials, is owned by or licensed to Conselent and is protected by intellectual property and other laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

Conselent, its logos, product names, and branding elements are trademarks or service marks of Conselent or its licensors. You may not use them without prior written permission.

11. Third-Party Content and Services

The Site may contain links to third-party websites, products, services, or resources. We provide these links for convenience only and do not endorse or control those third parties.

We are not responsible for the availability, content, accuracy, legality, or practices of third-party sites or services.

12. Beta, Preview, and Trial Features

We may offer beta, preview, demo, pilot, or trial features or access from time to time. Such features may be incomplete, unstable, or subject to change or discontinuation at any time.

Unless otherwise expressly stated in writing, beta, preview, demo, pilot, and trial features are provided "as is" and without warranties or service commitments of any kind.

13. No Professional Advice

The Site may contain information about automation, OCR, redaction, AI-assisted workflows, compliance-related topics, accounting-adjacent workflows, privacy, security, or business practices. Such information is provided for general informational purposes only and does not constitute legal, accounting, tax, audit, compliance, cybersecurity, or other professional advice.

You are solely responsible for obtaining professional advice appropriate to your circumstances.

14. Disclaimer of Warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSELENT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, CONSELENT DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT ON THE SITE WILL BE ACCURATE, COMPLETE, OR CURRENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSELENT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF CONSELENT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless Conselent and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, demands, actions, proceedings, damages, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your use of the Site;
  • your violation of these Terms;
  • your Submission or other content you provide through the Site;
  • your violation of any applicable law or third-party right; or
  • your misuse of the Site or related systems.

17. Suspension and Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe:

  • you have violated these Terms;
  • your use poses a security, legal, or operational risk;
  • we are required to do so by law; or
  • continued access is no longer commercially feasible.

Upon termination, your right to use the Site will immediately cease.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction and venue of those courts.

19. Injunctive Relief

Nothing in these Terms limits Conselent's right to seek injunctive or equitable relief for actual or threatened misuse of the Site, infringement of intellectual property rights, breach of confidentiality obligations, or unauthorized access to systems or data.

20. Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and Conselent regarding your use of the Site, unless a separate customer agreement applies.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

No waiver of any provision of these Terms will be deemed a further or continuing waiver of that provision or any other provision.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Electronic Communications

You agree that we may communicate with you electronically regarding the Site and these Terms.
